Terms of Service

By creating an account, connecting an integration, or accepting an invitation, you agree to these Terms. If you accept on behalf of an organisation you confirm you have authority to do so.

Vantage Data Room is a multi-tenant SaaS platform that provides secure investor data rooms, AI-assisted sales briefing, transcript extraction, email sequencing, and CRM integration. Features may change over time.

You are responsible for the confidentiality of your credentials and for actions taken under your account.

Workspace administrators are responsible for the conduct of users they invite and the accuracy of data they upload.

Do not use the Service to: violate laws, infringe IP, distribute malware, spam recipients without consent, attempt to gain unauthorized access, reverse-engineer the Service, or harvest data of investors you have no relationship with.

Do not bypass usage limits or rate caps.

You retain ownership of all data you upload. You grant Vantage a limited licence to process it for the purpose of providing the Service.

You are responsible for obtaining lawful basis (consent, legitimate interest, contract) to process personal data of investors you invite — including their email address and behavioural data captured in the data room.

AI features generate text based on patterns in your workspace data. Outputs are suggestions; you remain responsible for reviewing and approving any content sent to investors or external systems.

Vantage makes no guarantee of accuracy. Do not rely on AI output for legal, tax, or financial advice without independent verification.

When you connect Gmail, Outlook, HubSpot, Salesforce, Read.ai, or other services, your use of those services is governed by their own terms. You authorise Vantage to act on your behalf as defined by the scopes granted at connection time.

Pricing is published at vantagebusinesses.com. Fees are billed in advance and are non-refundable except where required by law.

We may revise fees with 30 days' notice for ongoing subscriptions.

Either party may terminate at any time on written notice. Upon termination, your access ends and we delete workspace data within 30 days, except where retention is required by law.

Vantage may suspend the Service for non-payment or breach of these Terms.

The Service is provided AS IS without warranties of any kind, express or implied, including merchantability, fitness for purpose, or non-infringement.

Vantage does not warrant uninterrupted operation, that errors will be corrected, or that AI outputs will be accurate.

To the maximum extent permitted by law, Vantage's aggregate liability for any claim arising out of the Service shall not exceed the fees paid by you in the 12 months preceding the claim.

Neither party is liable for indirect, incidental, special, consequential, or punitive damages.

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws principles. Exclusive jurisdiction lies in the courts of Toronto.
